These Terms of Service ("Terms") are a legal agreement between you and Cultra Lab Limited Partnership ("we", "us", "our"), a Limited Partnership registered in Thailand at 1st Floor, PKCD Building, 9, 8 Muang Naka Rd, Phuket 83000, Thailand. They govern your access to and use of the website thaiandenglish.com and the associated application "Phuut Thai" (together, the "Service"). By creating an account, subscribing, or otherwise using the Service, you confirm that you have read, understood and accepted these Terms. If you do not accept them, please do not use the Service.

These Terms are entered into electronically. Under the Thai Electronic Transactions Act B.E. 2544 (2001), your clickwrap acceptance (the "I agree" checkboxes during onboarding and sign-in) has the same legal effect as a written signature.

Phuut Thai teaches language in two directions: Thai mode (paid) and English mode (free). Features include sentences, vocabulary, audio, spaced-repetition flashcards, scripts and games. We do not guarantee any particular fluency outcome — results depend on your own effort and practice. Automated text-to-speech audio is a convenience and may not reflect perfect pronunciation in every case.

We may add, change, or remove features, content or supported platforms at any time. We will give reasonable advance notice of changes that materially reduce paid features for existing subscribers; in that case you may terminate and request a pro-rata refund of the unused portion of your subscription.

3. Accounts and eligibility

You may use the Service in local-only mode without an Account. To sync progress across devices, you may create an Account using your email address. You are responsible for the security of your email inbox (which is used for magic-link sign-in) and for all activity that occurs on your Account. One person, one Account.

Under the Thai Civil and Commercial Code, a person under 20 years of age who is not married is a minor. During onboarding we ask you to self-declare whether you are under 18 so we can offer Kid Mode; this is a content filter, not a legal age-verification. If you are under 20 and resident in Thailand, you may only use the Service with the permission of your parent or legal guardian, who by permitting your use accepts these Terms on your behalf. We do not knowingly provide the Service to children under 10 and will delete an Account on receipt of credible notice that it was created without appropriate guardian consent.

4. Free and paid tiers

English mode (content designed for Thai learners of English) is provided free of charge and does not require payment or an Account. We reserve the right to introduce optional premium features on the free side in future; any functionality that is free on the date of these Terms will remain free.

Thai mode is offered on an annual subscription at THB 1,000 per year (approximately USD 28), preceded by a 3-day free trial. No payment method is required to start the trial; you will only be charged if, after the trial, you choose to subscribe via Paddle's checkout. Subscriptions then renew automatically each year unless you cancel before the renewal date. You may cancel at any time from Account → Billing; cancellation stops auto-renewal and your access continues to the end of the paid period.

Paddle acts as Merchant of Record. Paddle collects and remits VAT, GST and other applicable taxes on our behalf where required, and processes all payment-card data. Paddle's own terms apply to the payment portion of your transaction in addition to these Terms. Prices are shown in THB; Paddle will convert to your local currency at their prevailing exchange rate at checkout.

5. Refunds

Our refund terms are set out in our Refund Policy, which forms part of these Terms. Nothing in that policy or these Terms limits any mandatory statutory rights you may have as a consumer under the Thai Consumer Protection Act B.E. 2522, the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, or any other applicable consumer-protection law.

We may suspend or terminate any Account that we reasonably believe has breached this Section 6, with or without notice, and without refund for the unused period in the case of material breach. Where required by Thai law we will cooperate with competent authorities, and we may retain minimum traffic logs as required under the Computer Crime Act.

7. Intellectual property

All Content in the Service is owned by Cultra Lab Limited Partnership or our licensors, and is protected under the Thai Copyright Act B.E. 2537 and international copyright treaties. We grant you a personal, non-transferable, non-exclusive, revocable licence to access and use the Content for your own non-commercial language-learning purposes only. Taking screenshots of individual phrases for your personal study is fine; republishing, redistributing, fine-tuning language models on, or building a competing product from our Content is not.

If you send us feedback, ideas or suggestions ("Feedback"), you grant us a perpetual, worldwide, irrevocable, royalty-free, sublicensable licence to use that Feedback for any purpose without obligation to you. You are not required to send Feedback. If you do, please do not include confidential information.

8. Your data

Our handling of your personal data is governed by our Privacy Policy, which forms part of these Terms and complies with the Thai Personal Data Protection Act B.E. 2562 (PDPA). You retain ownership of any content you submit to the Service; we process it only as reasonably necessary to provide the Service and as described in the Privacy Policy.

9. Service availability and force majeure

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, or compatible with every device or browser. We will use reasonable efforts to maintain availability but are not liable for interruptions caused by scheduled maintenance, third-party provider outages (Supabase, Paddle, GitHub, email providers, ISPs), force majeure events (including natural disaster, act of government, war, pandemic, cyber-attack, or failure of public infrastructure), or events outside our reasonable control. Where a paid feature is unavailable for a prolonged period, Section 2 (pro-rata refund for materially reduced features) and our Refund Policy continue to apply.

10. Limitation of liability

To the maximum extent permitted by Thai law, our total aggregate liability to you for any claim or series of related claims (whether in contract, tort, under statute or otherwise) shall not exceed the greater of (a) the amount you have actually paid us in the twelve (12) months immediately preceding the claim, or (b) THB 1,000.

To the maximum extent permitted by Thai law, we shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data, even if we were advised of their possibility.

You agree to indemnify us against reasonable, direct losses, liabilities and costs (including reasonable legal fees) arising out of your breach of Section 6 (Acceptable use) or Section 7 (Intellectual property), except to the extent such losses result from our own breach, negligence or wilful misconduct.

12. Termination

You may stop using the Service and request deletion of your Account at any time by emailing privacy@thaiandenglish.com. We may suspend or terminate your Account for material breach of these Terms, non-payment, prolonged inactivity (24+ months), or where required by law. Upon termination, your access to paid features ends and your data is handled in accordance with the retention rules in our Privacy Policy. Sections that by their nature should survive termination — including 7 (IP), 10 (Liability), 11 (Indemnity), 14 (Governing law) and 17 (Miscellaneous) — will survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email (if you have an Account) or by in-app banner at least 14 days before taking effect. If you continue to use the Service after the effective date, you accept the revised Terms. If you do not accept them, you may terminate your subscription and request a pro-rata refund for any unused paid period.

14. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict-of-laws principles. Before commencing proceedings, you agree to first contact us at hello@thaiandenglish.com so we can try to resolve the dispute amicably.

If a dispute cannot be resolved informally, it shall be submitted to the non-exclusive jurisdiction of the competent Thai courts. Nothing in this Section limits your right, as a consumer domiciled in Thailand, to bring proceedings under the Consumer Case Procedure Act B.E. 2551 in the Thai court nearest to your place of residence.

15. Language

These Terms are published in English. A short Thai-language summary is provided at the top of this page for convenience. The English text is authoritative in the event of any inconsistency with the Thai summary or any unofficial translation — except where Thai law mandates a Thai-language or Thai-law-compliant interpretation for consumers resident in Thailand, in which case that interpretation prevails for those consumers.

16. Assignment and business transfer

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations, including transferring your Account and associated personal data, in connection with a merger, acquisition, reorganisation, sale of all or substantially all of our assets, or any similar transaction, provided that the successor is bound by terms substantially equivalent to these Terms and our Privacy Policy. We will notify you of any such transfer in accordance with Section 13.
